1. Acceptance

These Terms of Use govern your access to and use of dflawconsulting.com (“the site”), operated by Deerfield & Falcone Law Consulting LLC, a New Jersey limited liability company with its office at 4946 Deer Ridge Drive, Boonton, NJ 07005. By using the site you agree to these terms. If you do not agree, please do not use the site.

2. Nature of the site and of our services

The site describes business consulting services. We are not a law firm; we do not practise law; and we do not provide legal representation, legal opinions or legal advice. Using the site, submitting an enquiry, or corresponding with us does not create an attorney-client relationship and does not create a consulting engagement. An engagement begins only when both parties sign a written proposal or engagement letter.

3. Permitted use

• You may read, print and share pages of this site for your own lawful, non-commercial purposes.
• You may not scrape, mirror, resell, or systematically copy the site or its content.
• You may not attempt to interfere with the site's operation, probe its security, or use it to transmit unlawful or harmful material.
• You may not misrepresent an association with the firm or use our name or marks without written permission.

4. Intellectual property

All text, layout, graphics, the firm's monogram and other content on this site are owned by Deerfield & Falcone Law Consulting LLC or used under licence, and are protected by United States copyright and trademark law. Deliverables produced under a signed engagement are licensed or assigned to the client as set out in that engagement letter, and nothing on this page limits those rights.

5. No warranty

The site and its content are provided “as is” and “as available”, for general information only. We make no warranty that the content is complete, current, or suitable for your circumstances, and no warranty that the site will be uninterrupted or error-free. Regulatory requirements change; material that was accurate when published may not remain so.

6. Limitation of liability

To the fullest extent permitted by New Jersey law, Deerfield & Falcone Law Consulting LLC and its members, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or goodwill, arising out of your use of or inability to use the site. Our total aggregate liability arising from your use of the site is limited to one hundred US dollars ($100). Liability arising under a signed engagement is governed by that engagement letter, not by this clause. Nothing here excludes liability that cannot lawfully be excluded.

7. Third-party links

The site may link to third-party resources for convenience. We do not control and are not responsible for their content, availability or privacy practices, and a link is not an endorsement.

8. Indemnity

You agree to indemnify and hold the firm harmless from any claim arising out of your misuse of the site or your breach of these terms.

9. Privacy

Our Privacy Policy and Cookie Policy form part of these terms and describe how we handle personal information.

10. Changes

We may amend these terms at any time by posting a revised version with a new revision date. Continued use of the site after a change constitutes acceptance of the revised terms.

11. Governing law and venue

These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any dispute arising out of them will be brought exclusively in the state or federal courts located in Morris County, New Jersey, and you consent to that jurisdiction.

12. Severability and entire agreement

If any provision is held unenforceable, the remainder stays in force. These terms, together with the policies referenced above, are the entire agreement between you and the firm regarding the site.
