Contract lifecycle review
Template rationalisation, clause libraries, signature and renewal tracking, and a plain-English playbook so your sales and procurement teams stop improvising.
Boonton, New Jersey · Established 2013
Deerfield & Falcone Law Consulting LLC helps mid-market employers in New Jersey and the wider Tri-State area put their contracts, policies and regulatory obligations in order — practically, on a fixed budget, and without the overhead of a full in-house department.
Who we are
Most compliance failures are not caused by bad lawyers. They are caused by good documents that nobody maintained — a contract template last revised in 2019, a handbook that predates the current wage rules, a vendor list nobody has reviewed since onboarding.
We were founded in 2013 by James Harris after fourteen years running legal operations inside regional employers in Morris and Essex counties. The practice does one thing: it makes the paperwork that governs your business accurate, findable and current, and it keeps it that way.
We are deliberately small. Every engagement is scoped, run and signed off by a principal — never handed to a junior and never sent offshore. When the right answer is “you need a licensed attorney for this,” we say so and, with your permission, hand off cleanly to counsel you already trust.
Services
Each area can be bought as a one-off review, a remediation project, or an ongoing retainer. Most clients begin with a single audit and expand from there.
Template rationalisation, clause libraries, signature and renewal tracking, and a plain-English playbook so your sales and procurement teams stop improvising.
Gap assessments against the frameworks that actually apply to you — SOC 2, HIPAA administrative safeguards, PCI DSS scoping, NJ state filings — with a prioritised remediation plan.
Data inventories, retention schedules, DSAR workflows and vendor data-processing terms mapped to the NJ Data Privacy Act, CCPA and GDPR where relevant.
Handbook reviews, classification checks, leave and overtime policy alignment with New Jersey wage-and-hour rules, plus manager-level training material.
Third-party risk registers, security questionnaire triage, insurance and indemnity checks, and a defensible record of who you rely on and why.
A named principal, a fixed number of days each month, and a standing agenda: renewals, escalations, policy drift and the board reporting pack.
Method
No discovery theatre. Four stages, dated deliverables, and a single point of contact from first call to handover.
Thirty minutes. We ask what triggered the call — an audit, a failed questionnaire, a renewal, a new state you just started hiring in — and tell you plainly whether we can help.
You send what exists; we read all of it. Within ten business days you receive a written assessment: what is current, what is stale, what is missing, and what exposes you first.
We rebuild the documents and workflows in priority order, working alongside your team and, where required, your outside counsel for anything that needs a licensed attorney's sign-off.
You get the editable source files, an owner's manual and a calendar of review dates. Retainer clients get a quarterly walkthrough and a board-ready summary.
In their words
“We failed a security questionnaire in March and won the same account in July. Deerfield rebuilt our vendor register and our data map, and did not once try to sell us software.”
“Our handbook still referenced a leave policy from two governors ago. James found it in week one and had a corrected draft with our employment counsel by week three.”
“Fixed fee, fixed dates, and every deliverable arrived when they said it would. That is rarer than it should be.”
Client identities are withheld under our standard confidentiality terms. References available on request during scoping.
Where we work
Our office sits on Deer Ridge Drive in Boonton. Most clients are within an hour's drive — Morristown, Parsippany, Newark, Jersey City, Paterson, and across the line into Rockland and Westchester counties — and we still believe the first working session should happen in a room, not on a call.
We also support remote engagements nationally where the work is document-led. Whatever the format, one principal owns the file.
Common questions
A 30-minute scoping call, no charge and no obligation. We will tell you honestly whether this is work we should take, work you can handle internally, or work that belongs with outside counsel.
